Special Board of Education Meeting and Board Planning Session held January 23, 2021 A Special Meeting of the Poland Board of Education and Board Planning session was held on Saturday, January 23, 2021, at 10:00 a.m., in the Dobbins Board Room, 3030 Dobbins Road, Poland, Ohio 44514 Mr. Riddle called the meeting to order at 10:00 a.m. Pledge of Allegiance Roll Call: Ms. Colucci, Dr. Dinopoulos, Mr. Polis, Mr. Riddle, and Mr. Warren. - All Here. Approval of Strollo Architects for Professional Design Services Ð PSHS Renovations Ð Resolution #2021-13 Mr. Polis moved and Mr. Warren seconded with all members present voting aye to approve Strollo Architects, 201 W. Federal St., Youngstown, Ohio 44503 for Professional Design Services for the renovations and improvements to Poland Seminary High School. Motion passed 5-0. WHEREAS, this Board desires to enter into an agreement with Strollo Architects for the purpose of obtaining professional design services in connection with the renovations and improvements to Poland Seminary High School; NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Poland Local School District, County of Mahoning, State of Ohio, that: Section 1. Approval and Execution of Agreement for Architectural Services. The President or Vice-President and Treasurer of this Board are hereby authorized to sign, acknowledge and deliver, in the name of and on behalf of the School District, an agreement for architectural services with Strollo Architects. The execution of an agreement is approved with such terms and conditions that are not materially inconsistent with this Resolution, not substantially adverse to the Board of Education, and that are permitted by law and shall be approved by those officials. The approval of such terms and conditions, and that such terms and conditions are not materially inconsistent with this Resolution and not substantially adverse to the Board of Education, shall be conclusively evidenced by the signing of an agreement by those officials. Section 2. Approval and Execution of Related Documents. The President or Vice-President and Treasurer of this Board and the Superintendent, or such other School District officials as shall be designated by those officials, as appropriate, are each authorized and directed to sign any certificates or documents, and to take such other actions as are desirable, advisable, necessary or appropriate, to consummate the transactions contemplated by this Resolution. Section 3. Prior Acts Ratified and Confirmed. Any actions previously taken by School District officials or agents of this Board in furtherance of the matters set forth in this Resolution are hereby approved, ratified and confirmed. Section 4. Compliance with Open Meeting Requirements. This Board finds and determines that all formal actions of this Board and any of its committees concerning and relating to the adoption of this Resolution were adopted in an open meeting of this Board or committees, and that all deliberations of this Board and any of its committees that resulted in those formal actions were in meetings open to the public, in compliance with the law. Section 5. Captions and Headings. The captions and headings in this Resolution are solely for convenience of reference and in no way define, limit or describe the scope or intent of any Sections, subsections, paragraphs, subparagraphs or clauses hereof. Reference to a Section means a section of this Resolution unless otherwise indicated. Section 6. Effective Date. This Resolution shall be in full force and effect from and immediately upon its adoption.
